IS THE CERTIFICATE OF INCORPORATION SUFFICIENT TO PASS ELIGIBILITY EVEN WITHOUT THE ARTICLES OF INCORPORATION?

Good day Sir/Madam:

I would just like to ask for your professional opinion regarding the SEC Registration. Is the Certificate of Incorporation enough/sufficient to pass the eligibility even with the absence of its Articles of Incorporation? TYIA

What is required is the Registration Certificate issued by SEC, not the Certificate of Incorporation or the Articles of Incorporation. A corporation may have an Articles of Incorporation and may also have a Certificate of Incorporation but it may not have a Registration Certificate for failure to register anew with the SEC.

The SEC Registration Certificate is defined as any certificate issued by the Securities and Exchange Commission attesting to the registration of the prospective bidder, such as Certificate of Registration or Certificate of Filing of Amended Articles of Incorporation and/or By-Laws. The procuring entity is correct for passing the bidder as such. The BAC should have checked the original certificate of amendment of article of incorporation and by law during the post-qualification stage.
